RULES AND BY-LAWS
OF THE
ALABAMA SENIORS GOLF ASSOCIATION
ARTICLE I - NAME
Section 1. The name of this association will be “Alabama Seniors Golf Association”.
ARTICLE II - PURPOSE
Section 1. The purpose of this association will be to promote fellowship and friendly competition in golf among seniors players, to hold an annual championship tournament to decide a champion, such other golf tournaments and other competition tournaments, and in general, to do all things that may be deemed necessary and proper to advance the best interest of golf and of senior golfers
Section 2. This Association is dedicated to upholding all the provisions set forth in the “Rules of Golf” as approved by the United States Golf Association and The Royal and Ancient Golf Club of Saint Andrews, Scotland.
ARTICLE III - MEMBERSHIP
Section 1. ELIGIBILITY : Any Amateur golfer of minimum age 50, regardless of race, color, national or ethnic origin who is a member in good standing of a golf club or a country club is eligible to be invited as a candidate for membership. Potential members outside the State of Alabama are eligible provided they meet all eligibility requirements. Two members of the Association in good standing must re-comment the candidate and the election to membership is subject to approval the Board of Governors.
Section 2. NUMBER OF MEMBERS: The Board of Governors at its annual Winter Meeting shall determine the number of members of the Association for each year. The limit is subject to adjustment by the Board of Governors at any time for good cause.
Section 3. CLASSES OF MEMBERSHIP:
(A) Active Member: Shall pay annual dues; be eligible to vote at the annual meeting of the membership or special meeting called by the President, to hold office, and to serve on the Board of Governors.
(B) Honorary Member: One who has attained age 55, a distinguished resident of the State of Alabama, may be elected by majority vote of the Board of Governors as an honorary member. The Honorary member shall pay no dues and shall be able to attend any social and/or golf activities of the Association but shall not be eligible to serve on the Board of Governors or be elected to any office of this Association.
(C) Charter Member: One who joined the Association prior to December 31, 1967.
(D) Inactive Member: One who has requested in writing to be placed in this category for good reason. Such member may be reinstated to Active Member upon written request and at the option of the Board of Governors if the eligibility requirement are met. The vacancy thus created in the Active membership may be filled by action of the Board of Governors at any time during the year. The inactive member shall remain on the Association’s mailing list and be sent all tournament results, Yearbook, and other bulletins. The inactive member shall pay annual dues of twenty-five dollars ($25.00) or such amount as determined by the Board of Governors. Inactive Members may attend tournament social functions by paying required fee.
(E) Candidates for Membership: Each candidate shall be recommended in writing by two (2) members, one of whom, preferably , shall be a member of the candidate’s home club. A candidate age 49 may be recommended but shall not be eligible for membership until 50 years of age. It is the responsibility of one of the members making the recommendation to see that all information required of a candidate is completed on the form available from the Secretary/Treasurer. The Board of Governors at any of its meetings shall make the selection of new members.
(F) Associate Member: A widow of a deceased member my become an Associate Member, shall pay annual dues, but will not be eligible to vote or hold office in Association.
(G) A former member may be reinstated to the general membership by payment of all appropriate dues upon the approval of the Board of Governors.
Section 4. AGE GROUP CLASSIFICATION: For tournaments where age group competition is held, the membership shall be classified in the following Age Groups:

ARTICLE IV - BOARD OF GOVERNORS
Section 1. NUMBERS OF GOVERNORS: The Board of Governors shall consist of nine (9) members including President, first Vice-president, second Vice-president and six (6) members from the general membership. Two of these Board Members will be from each of the four Districts. The previous years’ President will serve as the Immediate Past President for one year as an advisor but without voting privileges.
Section 2. ELECTION:
(A) An appropriate number of Board members shall be nominated to replace Board members whose terms expire. The term of office shall be three years or until the successors have been elected by the membership and qualified The terms shall be staggered so that three (3) new board members are elected for a full term. The terms shall be staggered so that three (3) new Board members are elected to a full three-year term each calendar year. The members of the Board of Governors shall be selected as strategically as possible from four districts in the state and at no time shall more than three members of the Board be from any on district. The four districts of the Association are as follows: North, North Central, South Central and South.
(B) The Election Process: (1) A nomination committee from the membership will nominate Board of Governors candidates. Additional candidates may be added to the ballot if a written request by fifteen (15) members is submitted to the nominating committee 45 days prior to the annual meeting. (2) The annual elections will be by paper ballots mailed to the membership 30 days prior to the fall annual meeting. The membership shall return their ballot no later than the date of the fall/annual meeting. (3) New Board of Governors members for the following year will be announced at the annual meeting, which will be held in conjunction with the winter tournament.
Section 3. RECALL VOTE:
(A) A Board Member(s) will be removed from the Board, as results of a Recall vote by the membership. A Recall vote will be recognized when a written request, signed by 25 members is presented to the Secretary/Treasurer 10 days prior to any membership meeting. the Recall Request must state the Governor’s name and reason for the requested Recall.
(B) The Secretary/ Treasurer will prepare a “Recall vote” ballot, identifying the Board Members(s) to be voted upon.
(C) The Secretary/Treasurer and four members from the membership will count the vote and announce the results.
Section 4. DUTIES:
(A) The Board of Governors shall be in general charge and manage the affairs of the Association, shall be vested and entrusted with control and management of all of the affairs, finances and assets of the Association; and shall adopt such policies, rules and regulations that the Board deems in the best interest of the Association and not inconsistent with these By-laws.
(B) In addition to managing the affairs of the Association, the Board of Governors shall enforce the By-laws of the Association and take cognizance of any infractions thereof, fill vacancies on the membership, and shall have the authority to delegate such duties and responsibilities to active members or committees as it deems advisable to properly carry out the objectives and purposes of the Association.
(C) The Board of Governors shall have full power to suspend from the privileges of the Association or to expel there from, any member whose conduct shall be pronounced by a majority vote and the Board to have endangered the welfare, interest, integrity, of character of this Association. Such member may request the opportunity to appear before the Board that is the sole judge as to the degree of correction.
(D) The Board shall establish what is to be paid the Secretary/Treasurer and annual salary and annual maximum allowance for expenses.
(E) If any Governors dies or resigns during the term of office, the vacancy for the remaining portion and the learn will be filed at the annual election.
Section 5. MEETING:
(A) The annual meeting of the Board of Governors shall be held in January of each year at a time and place to be determined by the President.
(B) The Board of Governors at its meetings shall elect an appropriate number of new members who have been proposed for membership by the members of the Association.
(C) The Board may meet at a time and place to be determined by the President at any tournament of the Association and announced to the membership twenty-four (24) hours prior to such meeting.
(D) Special meetings of the Board of Governors may be called by the President or by a majority note of the Board and it shall be the duty of the Secretary/Treasurer to send notices of any annual or specially called meeting to each Board member, all Governors Emeritus, and members by mail as to the purpose, time, and place at least ten (10) days in advance of the meeting date.
Section 6. QUORUM: A quorum of the meeting of the Board of Governors shall be a number equal to a majority of the Board Members existing at the time, two of whom shall be officers. A written and signed Proxy vote shall be allowed at any Board meeting.
Section 7. The entire Board may vote by mail, telephone, or e-mail upon any action proposed by the President and the results of such vote shall be as valid as though it had been resolved at a called meeting. It shall be the responsibility of the Secretary/Treasurer at the direction of the President to conduct the voting by mail, telephone, or e-mail.
Section 8. The board of governors may, at its discretion , honor a retiring Board member who has contributed outstanding service to the Association during tenure by electing such Board member to the status of Governor Emeritus. A Governor Emeritus will automatically become an Honorary Member and shall henceforth be notified of and have the right to attend all Regular Meetings of the Board, to voice opinions on matters under consideration, be exempt from paying annual dues, but shall have no voting rights at Board meetings. A Governor Emeritus may continue to pay dues, in which event said Governor Emeritus is entitled to all rights of an active member.
ARTICLE V - OFFICERS AND DUTIES
Section 1. OFFICES:
(A) The officers of the Association shall consist of a Immediate Past President, President, two Vice-presidents and Secretary /Treasurer.
(B) Except for the Immediate Past President, the Board of Governors shall elect the officers from its own members at the January Meeting.
(C) The Secretary/Treasurer will be selected from among the Board members or from the active membership.
(D) No officer except the Secretary shall hold the same office for more than a one-year-term.
Section 2. IMMEDIATE PAST PRESIDENT: The Immediate Past President shall serve for a one -year term and will not be eligible for an additional term. The duties of the Past President will be to serve in a nonvoting advisory capacity to the Board of Governors. The President may request the Past President to perform other duties that the President may consider in the best interest of the Association.
Section 3. PRESIDENT: The President shall have general management of the affairs of the Association, shall preside at all tournaments and all meetings of the membership and of the Board of Governors and report any matter which, in the President’s judgment, may be important to the best interests of the Association. The President shall be an ex-officio member of all committees with the right to vote at meetings thereof.
Section 4. FIRST AND SECOND VICE-PRESIDENT: In preference according to status, shall perform the duties of the President when the latter is unable to serve.
Section 5. SECRETARY/TREASURER:
(A) The Secretary/Treasurer shall keep the minutes of all meetings and distribute copies to the Board members, attend to the correspondence, maintain a waiting list of applicants for membership, and monitor the handicaps of members. The Secretary/Treasurer shall publish a Yearbook, which shall include tournament results, a membership roster, tournament format-conduct, and the Secretary/Treasurer’s report on finances, membership, and items of general interest to the membership for that year, and such other information as directed by the Board of Governors. In general, the Secretary/Treasurer shall perform these and other duties as required and incidental to his office under the control of the Board.
(B) The Secretary/Treasurer shall keep a full and accurate accounting record of all Moines received and disbursed in the course of Association business. The Secretary/Treasurer shall maintain a checking account at a bank approved by the Board of Governors and all monthly bank statements, together with the deposit receipts and disbursements checks with invoices thereto attached shall be kept on file for a period of at least five years. Based upon a calendar year, the Secretary/Treasurer’s shall submit a financial report each quarter and at year-end and at such other times as determined by the Board of Governors to each Board member, including Governors emeritus. each report shall contain a recap of current and progressive expense Moines spent against the Secretary/Treasurer’s allowance. In general, the Secretary/Treasurer shall perform these and other duties incidental to this office under the control of the Board.
ARTICLE VI - MEETINGS OF THE MEMBERSHIP
Section 1. The annual meeting of this Association shall be held during the time of the Winter Tournament as such time and place as determined by the Board.
Section 2. Regular meetings of this Association may be held at any activities/tournaments of this Association. An item may be placed on the agenda at the written request of fifteen (15) members when presented to the Board 24 hours prior to the meeting. The meeting shall have an informal session where members may ask the Board questions of express any thoughts about the Association.
Section 3. Special meetings of the Association membership may be called at any time by the President at the request of 4 members of the Board of Governors, or at the written request of fifteen (15) Regular Members of the Association. Notice of any such special meeting shall state the purpose or objective.
Section 4. At least 15 days notice, in writing, shall be given to members of the Association of the special meetings.
Section 5. Any number of Active Members of the Association present shall constitute a quorum at the annual and/or at a special meeting of the membership. No Proxy vote shall be allowed at any meeting of the general membership.
ARTICLE VII - FEES AND DUES
Section 1. The initiation fee for membership in the Association shall be fixed by the Board of Governors but shall be less than One Hundred dollars ($100.00).
Section 2. The annual dues shall be fixed by the Board of Governors but shall not be less than Seventy dollars ($70.00). Note: Any member who is 80 years old and has been a member of the organization for at least 25 years is exempt form the payment of annual dues.
Section 3. The Secretary/Treasurer will mail invoices for annual dues no later than December 1 each year. In order for the Board of Governors to select and induct new members and to keep the number of members within the maximum limit, it is necessary that the number of dropouts each year be determined prior to its January Meeting. Therefore, any member who has failed to pay dues within the time interim specified on the invoice or who has not requested “Inactive Membership” status shall be assumed to have withdrawn form the Association.
Section 4. The reinstatement of a member, who has failed to pay dues within the specified time limit, shall be subject to the approval of the Board of Governors. Such past member shall submit a letter on or before May 1 of the year the member has failed to renew to the President or the Secretary/Treasurer requesting reinstatement. The reinstatement letter shall certify that all eligibility requirements are met and the current initiation fee shall be paid.
ARTICLE VIII - COMMITTEES
Section 1. NOMINATING: This Committee shall consist of five (5) members appointed by the Board from the general membership with at least one member from each district. This Committee shall elect its Chairman. This Committee shall course the Secretary/Treasurer to provide each member, by mail , at least thirty (30) days prior to the annual membership meeting, with a list of the nominations made by the committee.
Section 2: The president may appoint other committees.
ARTICLE IX - CHANGES TO BY-LAWS
Section 1. These By-laws may be amended or supplemented at any meeting of the membership of the Association by a majority vote or the membership provided that an accurate and thorough description of such amendment or supplement is included in the notice of such meeting to the membership.
Section 2. The Board of governors shall not have the right to repeal, alter, amend, or supplement any provision of these By-laws.
ARTICLE X - INTENT OF BY-LAWS
Section 1. The decision of the Board of Governors shall be final and conclusive with respect to all questions of intent and construction of the By-laws unless contested in writing by twenty (20) members. In this case, the President shall call a meeting and the next tournament date if possible. If that is not possible then a special meeting will be called at the earliest possible date to resolve the issue.
ARTICLE XI - DISSOLUTION
Section 1. This Association will survive until the membership has been reduced to 10, at which time the entire assets of the Association, together with any and all accumulations thereto shall be distributed to such charitable instructions or organizations as are described and approved by the Internal Revenue Code
